Terms of Service
Effective May 18, 2026
These terms govern access to the Steady marketing site and the Steady product during private alpha. Using either means you agree to them.
1. Who we are
Steady Chart is an electronic health record built for solo and small therapy practices. We're a U.S. company. References to "Steady," "we," and "us" mean Steady Chart, Inc.
2. Alpha status
Steady is in private alpha. Features may change. Data structures may change. Pricing is not finalized. We will give thirty days' notice before any change that affects your ability to access your data.
Alpha access is provided as is. We do our best — and we hold ourselves to a high bar for clinical software — but we cannot make production-grade SLAs during the alpha. Don't rely on Steady as your sole record of care until we both sign a written production agreement.
3. Your account
- You're a licensed mental health professional, or operate under one.
- You're responsible for the security of your sign-in credentials.
- You won't share your account. Each therapist gets their own.
- Two-factor authentication is required in production (beta and prod stages). We encourage it during alpha.
4. The Business Associate Agreement
Before you upload any PHI, we will sign a Business Associate Agreement (BAA) with your practice. The BAA controls how PHI is handled and supersedes any conflicting term in this document.
5. Your data
- You own your clinical records. Steady stores them; you control them.
- You can export your full chart history at any time, free of charge, in standard formats.
- If you close your account, we retain records consistent with state law and HIPAA minimums (see the Privacy page) and then delete them.
6. Acceptable use
Don't:
- Use Steady for anything other than legitimate clinical and practice operations.
- Reverse-engineer the product or attempt to extract source code beyond what's open.
- Probe, scan, or test the vulnerability of the system without our written authorization.
- Use Steady to harass, defraud, or harm anyone, including clients.
We will work with researchers in good faith on disclosed vulnerabilities. Email security@steadych.art.
7. Payments
Private-pay billing through Steady uses Stripe Connect. You agree to Stripe's terms in addition to ours. Steady charges no per-transaction markup on private-pay collection during alpha.
8. AI features
Steady's note-draft co-pilot is a drafting tool, not a clinical decision-making tool. You are the clinician. Every AI-suggested note is a draft until you read it, edit if needed, and sign. We log every revision to the note so the change history is complete.
9. Intellectual property
Steady is our software. Your clinical content is yours. Feedback you send us (bug reports, feature requests) is non-confidential and can be used to improve the product without obligation.
10. Disclaimers
Steady is provided as is during alpha. We disclaim implied warranties to the extent permitted by law. Steady is not a substitute for clinical judgment.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, consequential, or punitive damages. Our aggregate liability for any claim is capped at the greater of fees paid in the prior twelve months or one hundred U.S. dollars during alpha.
Nothing here limits liability for: gross negligence, willful misconduct, indemnification obligations under the BAA, or claims that cannot be limited under applicable law.
12. Indemnification
You'll defend and indemnify us against third-party claims arising from your use of the product in violation of these terms or applicable law. We'll defend and indemnify you against third-party claims that the product, used as intended, infringes a U.S. patent or copyright.
13. Termination
You can stop using Steady at any time. We may suspend access for material breach of these terms after notice and a reasonable cure period; we may suspend immediately if continued use poses a security risk to others. Your right to export data survives termination for thirty days, after which retention rules in the Privacy notice apply.
14. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Venue is in state or federal courts located in Wilmington, Delaware.
15. Changes
We will give at least thirty days' notice of material changes by emailing the address on your account. Continued use after the effective date constitutes acceptance.
